Attached are copies of the proposed revised Articles of Incorporation and Bylaws as well as a summary description of the changes.  These documents were prepared by Karla Kelly, an attorney that specializes in advising non-profit corporations.

Our current articles and bylaws are seriously outdated. Both documents were initially created when the foundation was a much different organization. Although they have been amended over the years, they still do not reflect the current status of the foundation.  As the foundation has matured and evolved, we recognize that these old documents no longer serve our needs.

The Executive Committee hired Karla Kelly to review our existing documents and suggest revisions that would reflect the status of our current organization and enable us to move forward with the growth and expansion plans we envision.

The proposed revised documents have been reviewed and approved by the QBGF Executive Committee, the QBGF Board of Trustees, the elected Docent leadership and the San Diego County Department of Parks and Recreation.

The final step is approval of these revisions by the QGBF membership. The proposed restated Articles of Incorporation and Bylaws to be brought to vote on January 14, 2006 are available for review below in PDF format, and in the Ecke Family Building executive office 9AM-5PM Monday through Friday prior to the meeting. I encourage our members to take the time to review these proposed revisions and come out to vote. The annual meeting will begin at 10:00 AM in the Ecke Family Building On Saturday, January 14, 2006.
